Agreement Overview

These Terms and Conditions ("Terms") govern your use of Software Solutions OnDemand LLC's services, including website development, software solutions, and IT services. By engaging our services, you agree to these Terms.

  • Service Provider: Software Solutions OnDemand LLC ("Company", "we", "us", "our")
  • Client: The individual or entity engaging our services ("Client", "you", "your")
  • Services: Software development, website creation, IT consulting, and related services
  • Effective Date: Date of project acceptance or service commencement
  • Governing Law: State of Florida, United States

Services & Project Terms

1. Project Scope

All projects require a signed proposal outlining deliverables, timelines, and costs. Changes to scope may affect timeline and budget.

2. Deliverables

We deliver source code, documentation, and assets as specified in the project agreement. All deliverables are subject to client review and approval.

3. Timelines

Project timelines are estimates. Delays caused by client feedback, scope changes, or third-party dependencies may extend deadlines.

4. Revisions

Includes up to 3 rounds of revisions per major milestone. Additional revisions may incur extra charges.

Payment Terms

Payment Structure

  • • 50% deposit to begin project work
  • • 25% upon milestone completion
  • • 25% upon final delivery
  • • Monthly retainers billed in advance
  • • Maintenance fees billed monthly/annually

Late Payments

  • • 5% late fee after 7 days overdue
  • • Work suspension after 14 days overdue
  • • Interest at 1.5% monthly on overdue amounts
  • • Client responsible for collection costs
  • • No refunds for completed work

Intellectual Property Rights

Client Rights

Upon full payment, client receives:

  • Full ownership of custom code and deliverables
  • License to use developed software
  • Source code and project documentation
  • Right to modify and distribute (subject to license)

Company Rights

We retain rights to:

  • Proprietary frameworks and libraries
  • Development methodologies and processes
  • Portfolio rights to showcase completed work
  • Reusable code components

Third-Party Components

Some projects may include third-party components subject to their own licenses. Client is responsible for compliance with third-party terms.

Confidentiality & NDA

Both parties agree to maintain confidentiality of sensitive information:

  • Protected Information: Business plans, source code, technical specifications, financials, client lists
  • Duration: Confidentiality obligations survive for 3 years after project completion
  • Exceptions: Publicly available information, independently developed, legally required disclosures
  • Non-Disclosure: Both parties agree not to disclose confidential information to third parties
  • Data Security: Implementation of reasonable security measures to protect confidential information

Warranties & Limitations

Service Warranties

  • 90-day warranty on delivered code for material defects
  • Professional workmanship and industry standards
  • Compliance with agreed specifications
  • Timely delivery of milestones

Limitations of Liability

  • Not liable for indirect, incidental, or consequential damages
  • Maximum liability limited to fees paid for services
  • Not responsible for third-party service failures
  • No guarantee of specific business results

Client Responsibilities

  • Provide accurate requirements and information
  • Timely feedback and approvals
  • Compliance with third-party terms
  • Payment as agreed

Termination & Cancellation

Client Termination

  • • 30-day written notice for monthly services
  • • Project cancellation fees may apply
  • • Payment for completed work required
  • • No refunds for delivered work

Company Termination

  • • Non-payment of fees
  • • Material breach of agreement
  • • Illegal or unethical requests
  • • Failure to provide required information

Legal Provisions

Governing Law

These Terms are governed by Florida law. Any disputes shall be resolved in courts located in Seminole County, Florida.

Dispute Resolution

  • 30-day negotiation period required before legal action
  • Mediation encouraged for unresolved disputes
  • Arbitration as alternative to litigation
  • Each party bears own legal costs

Force Majeure

Not liable for delays or failures due to circumstances beyond reasonable control (natural disasters, pandemics, government actions, etc.).

Acceptance & Updates

By engaging our services, you acknowledge that you have read, understood, and agree to these Terms and Conditions.

Updates to Terms: We may update these Terms periodically. Continued use of services after updates constitutes acceptance.

Notification: Significant changes will be communicated via email or website notice.
